Berikut ini saya coba bagikan teks (full transcript) dari pidato Mahasiswa Indonesia yang kuliah di Boston University (Fakultas Hukum) yang saya kutip dari pidato dia di hadapan para wisudawan, yang mana di tayangkan di official youtube-nya per 31 Mei 2018.

Hello everyone. Dinner work, Mr. Rotenberg, distinguished faculty, staff, proud parents, families. Good morning, and to the graduating class of 2018, Congratulations. The struggle is real that this point we can say that we made it through. Anyway, as you can hear from my accent, I’m not from America. I come from a country where the sun shines the whole year, with people who always smile and grateful no matter what, I’m from Indonesia. Thank You. You know grew up in Indonesia, I had a few that America is a land of Wonder with a lot of superheros, probably because I watch TV so much when I was little and I like Spider-Man, Wolverine, Magneto, X-Men and other friends, they are all Americans. How cool is that for a child. You know, probably because of those Hollywood movies, I put the first one of my dreams that one day I will visit America. And I’m so happy that I’m here today and I’m not just visiting, I’m studying here for 2 years. So, thank you. Thank you.

In 2016, I arrived for the first time in Boston and people are so welcoming from a cab driver to the hotel receptionist. And you know what as a Foreigner, as a stranger in a new country, A single smile or a simple friendly gesture means a lot. And in Boston I feel welcome, and I’m thankful for that. I would like to use this opportunity to extend my gratitude and to say thank you to my fellow Ellen graduated. Thank you for sharing your stories, your thoughts, your culture, your beliefs, everything. Thank you for just being as proud as you are. You know, your story is enlightened you with what every misconception that I had about this world. I always though that I could understand thigs from reading, but in fact the books that I read they’re just papers, the news, the video that I watched on the internet they’re just pixels. They’re just likes. But you are real people with real experience from around the world and I feel so blessed to know you all. To my friends in IP Law LLM. Thank you for sharing your thoughts with us. I had some discussions about book royalty with IP law student with acting very interesting. To my friends in American Lala LLM. Thank you for being very nice and answering our question about American legal system. Every time we have questions.

To my friends in tax LLM, thank you for being our tax’s counselor for free. I want to say that I admire you in tax LLM, because I had tax course last semester and it was so hard in almost made me cry the day before the exam, seriously. I mean you’re gone through all the tax courses. So you sould proud of that. To the JD’s, honestly sometimes I feel intimidated when I sit in the same class with you, sometimes. Because you are so smart and you're so eloquent, you covey your ideas, your arguments with clear, effective and persuasive language and because of you, I realized that I still have a lot of work to do as the best as you are, so congratulations. I believe that some of you or most of you will take the bar exam like very soon. I wish you good luck for that.

And to my brothers and sisters in Banking and Financial who are sitting back there, Hi. I want you guys to know that you are very special to me. Thank you very much for all, for everything that we've been through together. I know that some of you already have experience in Banking and Financial about some others not. And I feel so proud and happy to know that we can work together side by side helping each other overcome difficulties. I hope that I'm a good friend for you and I hope that this is a friendship that will last forever. Thank you for letting me to become part of your journey and thank you for being a part of mine.

I would also like to say thank you to Dean Marino Rory, thank you for always taking care of us, you know for 14 years. Thank you to assistant Dean John Riccardi, Thank you to Professor James Scott the director of Banking Financial Law for the passion, the positive vibes and the joy that you always bring to the classroom, it means so much. And thank you to all professors in below that I can’t mention one by one here, it's an honor to be your student. Anyway, back to my story about superhero on my first week in Boston. I went to downtown, you know for a sec seeing. And since I'm in America, I somehow imagine that Spider-Man will appear from nowhere and shot his webs to the Prudential Center and swings around the downtown. You know, I know it sounds absurd but it’s kind of fun to imagine, It never happens though, but you know what, as I'm standing here and seeing this wonderful view, I realized that we are surrounded by different kind of superhero people were sitting there and they’re the father’s, the mother, families, friends, significant others. They are all superheroes for us, without them we won't be sitting here today. So, if I can say something as a friend, if I may, please let them know that we appreciate and love them that we cannot thank them enough for everything that they have done for us. We could probably give them a round of applause right now.

Thank you to my mom and to my family's in Indonesia, they are not here today, but it's okay because I'll be home soon. And thank you to my dad I don't know where you are right now because I don't know where people go when they die. I just hope that I make you proud and I hope that you are watching my journey from somewhere where you belong and you know that I’m doing just fine in this life, thank you for everything that you've done for me. thank you.

My friends,, my fiends, one day this moment will become an old memory. We will grow old, some of us will become lawyers, prosecutors, judges. Some of us will take A Road Less Traveled by and some of us will become leaders in our respective countries. This makes so naïve, but I just hope that our generation can create a better and a more peaceful world. I saw you work together in Villa, regardless of your nationality. And I knew that International cooperation and global understanding is not a fantasy. Today as we leave this place, we will go out there on overcome whatever challenge that we face. Today is the first of many wins, but always remember that it’s not going to be so easy because all great things they’re never easy.

Lastly, I would like to thank the city of Boston and the great state of Massachusetts for all my experience during my time here. Next week I will back home to Indonesia. And from now on every time I see Orion's Belt in a Western Sky in a February night. I will always remember that Boston at the very moment will be covered with snow, Boston at the very moment will be covered with snow. Yet, it's still warm because of the people, so Boston thank you so much. My life is not perfect, but thank you for being a part of my timeline. I’ll see. Berikut ini saya coba bagikan teks (full transcript) dari pidato Mahasiswa Indonesia yang kuliah di Harvard (Harvard T.H. Chan School of Public Health) yang saya kutip dari pidato dia di hadapan para wisudawan, yang mana di tayangkan di official youtube-nya per 29 Juni 2022.

Good afternoon, everyone. Greetings to Dean Kim, faculty, staff, and alumni. And to the class of 2020, congratulations. Congratulation to our parents, friends, and loved ones, without whom today would not be special as is it a day we have all earned cherish together. Let me ask you a question, "How many of you when you are a little and you were asked, what do you want to be when you grow up, said public health professional?" Me neither, yet here we are.

Two years have passed since we graduated. And it still feels surreal for me to be on this podium and gather with you all once again in our beloved school. For me Harvard Chan plays a very important role in public health journey. I wil never forget my first day of orientation at this school. I ate my lunch in the bathroom stall with my feet on the toiet seat, so no one would know that I was there. But then I was so afraid of everything above all, the coffee breaks. I didn’t know what to say. I was afraid of saying something wrong. And I was afraid of being seen as different.  Even by just wearing a hijab, I already made my identity clear without even needing to tell anyone what I believe in. And I had seen a lot of news around Islamophobia, and it concerned me.

However, in just my second week at school, my perception began to change. I found a praying room downstairs. Surprisingly, the school provides us with a very convenient praying room, equipped with all things we need for praying. What made it even more special, it was my Jewish friend who showed me the room because he saw me praying under the stairwell. Equality, inclusivity, unity. I can not think of any better place I could learn those concepts but here. Little by little, Harvard Chan and all its people have become my new home 10,000 miles away from my original one. Albeit slowly, I came back to be the confident person, my mom has raised me to be.

My mom is here, by the way. So, mama has always been the one who inspires me. She is the youngest child of 11 siblings, born and raised by a rural farmer in a rural Sumatran Island in Indonesia. Farmers kids didn’t go to school those days. Her sisters and brothers worked very hard to get mama to college. And she didn’t take it for granted. When I was a kid, mama taught me an important lesson of live. Dream high because our only limit is our mind. That is what keeps her going through the tough times. Despite being under privileged, mama managed to raise three children who are completed master’s degrees.

The values that mama taught me keeps echoing all my life. She raised me from a student in small town in Indonesia to graduate from the best public health school in the word. From the beginning of my journey as a public health professional, I promised myself that I would always apply my knowledge and contribute to society. And I encourage you all to promise that we will not stop ourselves from leeping higher and making an in pact to the world through public health. Public health provides us with the opportunity to save the live of millions and improve the health and longevity of generations and generations to come. It is only through public health that we can see the entire countries setting aside their differences and pooling their resources to end the pandemic. And COVID has shown us that no matter how privileged we are or no matter where we come from, we are exposed to the same risk that only through helping each other, we will survive. For a moment, people are united through public health efforts despite the difference in ethnicity, nasionality, or spirituality.

My sisters and brothers, you have chosen to be here today because you are called to serve, to dignify the lives of people you’ve never even met or you may never meet. Your contributions make the work better and healthier place to live in. So, let me change the question. “How many of you now can proudly say, I’m glad to be a public health professional?” Class of 2020, let’s continue our journey in the often exiting, sometimes exhausting, rarely appreciated, but always important work of public health. Thank You.

Studi Kasus ENRON CORPORATION - Skandal Akuntansi Terbesar Di Dunia

KASUS ENRON CORPORATION

Enron Corporation didirikan pada 1930 sebagai Northern Natural Gas Company, sebuah konsorsium dari Northern American Power and Light Company, Lone Star Gas Company, dan United Lights and Railways Corporation. Kepemilikan konsorsium ini secara bertahap dan pasti dibubarkan antara 1941 dan 1947 melalui penawaran saham kepada publik. Pada 1979, Northern Natural Gas mengorganisir dirinya sebagai sebuah holding company, InterNorth, yang menggantikan Northern Natural Gas di Pasar Saham New York (New York Stock Exchange).

Enron merupakan perusahaan dari penggabungan antara InterNorth (penyalur gas alam melalui pipa) dengan Houston Natural Gas. Kedua perusahaan ini bergabung pada tahun 1985. Bisnis inti Enron bergerak dalam industri energi, kemudian melakukan diversifikasi usaha yang sangat luas bahkan sampai pada bidang yang tidak ada kaitannya dengan industri energi. Diversifikasi usaha tersebut, antara lain meliputi future transaction, trading commodity non energy dan kegiatan bisnis keuangan. Kasus Enron mulai terungkap pada bulan Desember tahun 2001 dan terus menggelinding pada tahun 2002 berimplikasi sangat luas terhadap pasar keuangan global yang di tandai dengan menurunnya harga saham secara drastis berbagai bursa efek di belahan dunia, mulai dari Amerika, Eropa, sampai ke Asia. Enron, suatu perusahaan yang menduduki ranking tujuh dari lima ratus perusahaan terkemuka di Amerika Serikat dan merupakan perusahaan energi terbesar di AS jatuh bangkrut dengan meninggalkan hutang hampir sebesar US $ 31.2 milyar.

Dalam kasus Enron diketahui terjadinya perilaku moral hazard diantaranya manipulasi laporan keuangan dengan mencatat keuntungan 600 juta Dollar AS padahal perusahaan mengalami kerugian. Manipulasi keuntungan disebabkan keinginan perusahaan agar saham tetap diminati investor. Kronologis, fakta, data dan informasi dari berbagai sumber yang berkaitan dengan hancurnya Enron (debacle), dapat dikemukakan sebagai berikut:

 1.    Board of Director (dewan direktur, direktur eksekutif dan direktur non eksekutif) membiarkan kegitan-kegitan bisnis tertentu mengandung unsur konflik kepentingan dan mengijinkan terjadinya transaksi-transaksi berdasarkan informasi yang hanya bisa di akses oleh Pihak dalam perusahaan (insider trading), termasuk praktek akuntansi dan bisnis tidak sehat sebelum hal tersebut terungkap kepada publik.

 2.    Enron merupakan salah satu perusahaan besar pertama yang melakukan out sourcing secara total atas fungsi internal audit perusahaan.

       a.       Mantan Chief Audit Executif Enron (Kepala internal audit) semula adalah partner KAP Andersen yang di tunjuk sebagai akuntan publik perusahaan.

       b.      Direktur keuangan Enron berasal dari KAP Andersen.

       c.       Sebagian besar Staf akunting Enron berasal dari KAP Andersen.

 3.    Pada awal tahun 2001 patner KAP Andersen melakukan evaluasi terhadap kemungkinan mempertahankan atau melepaskan Enron sebagai klien perusahaan, mengingat resiko yang sangat tinggi berkaitan dengan praktek akuntansi dan bisnis enron. Dari hasil evaluasi di putuskan untuk tetap mempertahankan Enron sebagai klien KAP Andersen.

4.    Salah seorang eksekutif Enron di laporkan telah mempertanyakan praktek akunting perusahaan yang dinilai tidak sehat dan mengungkapkan kekhawatiran berkaitan dengan hal tersebut kepada CEO dan partner KAP Andersen pada pertengahan 2001. CEO Enron menugaskan penasehat hukum perusahaan untuk melakukan investigasi atas kekhawatiran tersebut tetapi tidak memperkenankan penasehat hukum untuk mempertanyakan pertimbangan yang melatarbelakangi akuntansi yang dipersoalkan. Hasil investigasi oleh penasehat hukum tersebut menyimpulkan bahwa tidak ada hal-hal yang serius yang perlu diperhatikan.

5.    Pada tanggal 16 Oktober 2001, Enron menerbitkan laporan keuangan triwulan ketiga. Dalam laporan itu disebutkan bahwa laba bersih Enron telah meningkat menjadi $393 juta, naik $100 juta dibandingkan periode sebelumnya. CEO Enron, Kenneth Lay, menyebutkan bahwa Enron secara berkesinambungan memberikan prospek yang sangat baik. Ia juga tidak menjelaskan secara rinci tentang pembebanan biaya akuntansi khusus (special accounting charge/expense) sebesar $1 miliar yang sesungguhnya menyebabkan hasil aktual pada periode tersebut menjadi rugi $644 juta. Para analis dan reporter kemudian mencari tahu lebih jauh mengenai beban $1 miliar tersebut, dan ternyata berasal dari transaksi yang dilakukan oleh perusahaan-perusahaan yang didirikan oleh CFO Enron.

6.    Pada tanggal 2 Desember 2001 Enron mendaftarkan kebangkrutan perusahaan ke pengadilan dan memecat 5000 pegawai. Pada saat itu terungkap bahwa terdapat hutang perusahaan yang tidak di laporkan senilai lebih dari satu milyar dolar. Dengan pengungkapan ini nilai investasi dan laba yang di tahan (retained earning) berkurang dalam jumlah yang sama.

7.    Enron dan KAP Andersen dituduh telah melakukan kriminal dalam bentuk penghancuran dokumen yang berkaitan dengan investigasi atas kebangkrutan Enron (penghambatan terhadap proses peradilan

8.    Dana pensiun Enron sebagian besar diinvestasikan dalam bentuk saham Enron. Sementara itu harga saham Enron terus menurun sampai hampir tidak ada nilainya.

9.    KAP Andersen diberhentikan sebagai auditor enron pada pertengahan juni 2002. sementara KAP Andersen menyatakan bahwa penugasan Audit oleh Enron telah berakhir pada saat Enron mengajukan proses kebangkrutan pada 2 Desember 2001.

10.    CEO Enron, Kenneth Lay mengundurkan diri pada tanggal 2 Januari 2002 akan tetapi masih dipertahankan posisinya di dewan direktur perusahaan. Pada tanggal 4 Pebruari Mr. Lay mengundurkan diri dari dewan direktur perusahaan.

11.    Tanggal 28 Pebruari 2002 KAP Andersen menawarkan ganti rugi 750 Juta US dollar untuk menyelesaikan berbagai gugatan hukum yang diajukan kepada KAP Andersen.

12.    Pemerintahan Amerika (The US General Services Administration) melarang Enron dan KAP Andersen untuk melakukan kontrak pekerjaan dengan lembaga pemerintahan di Amerika.

13.    tanggal 14 Maret 2002 departemen kehakiman Amerika memvonis KAP Andersen bersalah atas tuduhan melakukan penghambatan dalam proses peradilan karena telah menghancurkan dokumen-dokumen yang sedang di selidiki.

14.    KAP Andersen terus menerima konsekwensi negatif dari kasus Enron berupa kehilangan klien, pembelotan afiliasi yang bergabung dengan KAP yang lain dan pengungkapan yang meningkat mengenai keterlibatan pegawai KAP Andersen dalam kasus Enron.

15.    Tanggal 22 Maret 2002 mantan ketua Federal Reserve, Paul Volkcer, yang direkrut untuk melakukan revisi terhadap praktek audit dan meningkatkan kembali citra KAP Andersen mengusulkan agar manajeman KAP Andersen yang ada diberhentikan dan membentuk suatu komite yang diketuai oleh Paul sendiri untuk menyusun manajemen baru.

16.    Tanggal 26 Maret 2002 CEO Andersen Joseph Berandino mengundurkan diri dari jabatannya.

17.    Tanggal 8 April 2002 seorang partner KAP Andersen, David Duncan, yang bertindak sebagai penanggungjawab audit Enron mengaku bersalah atas tuduhan melakukan hambatan proses peradilan dan setuju untuk menjadi saksi kunci dipengadilan bagi kasus KAP Andersen dan Enron .

18.    Tanggal 9 April 2002 Jeffrey McMahon mengumumkan pengunduran diri sebagai presiden dan Chief Opereting Officer Enron yang berlaku efektif 1 Juni 2002.

19.    Tanggal 15 Juni 2002 juri federal di Houston menyatakan KAP Andersen bersalah telah melakukan hambatan terhadap proses peradilan.

Identifikasi dari masalah ini adalah Bagaimana Kasus Enron dilihat dari Perspektif Etika Bisnis dan Profesional Akuntan beserta implikasinya. Praktik bisnis Enron yang menjadikannya bangkrut dan hancur serta berimplikasi negatif bagi banyak pihak. Pihak yang dirugikan dari kasus ini tidak hanya investor Enron saja, tetapi terutama karyawan Enron yang menginvestasikan dana pensiunnya dalam saham perusahaan serta investor di pasar modal pada umumnya (social impact). Jika dilihat dari Agency Theory, Andersen sebagai KAP telah menciderai kepercayaan dari pihak stock holder atau principal untuk memberikan suatu fairrness information mengenai pertanggungjawaban dari pihak agent dalam mengemban amanah dari principal. Pihak agent dalam hal ini manajemen Enron telah bertindak secara rasional untuk kepentingan dirinya (self interest oriented) dengan melupakan norma dan etika bisnis yang sehat.

Kasus ini mempunyai implikasi terhadap pembaharuan tatanan kondisi maupun regulasi praktik bisnis di Amerika Serikat antara lain :

1.      Pemerintah AS menerbitkan Sarbanes-Oxley Act (SOX) untuk melindungi para investor dengan cara meningkatkan akurasi dan reabilitas pengungkapan yang dilakukan perusahaan publik. Selain itu, dibentuk pula PCAOB (Public Company Accounting Oversight Board) yang bertugas:

·                          Mendaftar KAP yang mengaudit perusahaan publik

· Menetapkan atau mengadopsi standar audit, pengendalian mutu, etika, independensi dan standar lain yang berkaitan dengan audit perusahaan publik

· Menyelidiki KAP dan karyawannya, melakukan disciplinary hearings, dan mengenakan sanksi jika perlu

· Melaksanakan kewajiban lain yang diperlukan untuk meningkatkan standar professional di KAP

· Meningkatkan ketaatan terhadap SOX, peraturan-peraturan PCAOB, standar professional, peraturan pasar modal yang berkaitan dengan audit perusahaan publik.

2.      Perubahan-perubahan yang ditentukan dalam Sarbanes-Oxley Act

· Untuk menjamin independensi auditor, maka KAP dilarang memberikan jasa non audit kepada perusahaan yang diaudit.

· Membutuhkan persetujuan dari audit committee perusahaan sebelum melakukan audit. Setiap perusahaan memiliki audit committee ini karena definisinya diperluas, yaitu jika tidak ada, maka seluruh dewan komisaris menjadi audit committee.

· Melarang KAP memberikan jasa audit jika audit partnernya telah memberikan jasa audit tersebut selama lima tahun berturut-turut kepada klien tersebut.

· KAP harus segera membuat laporan kepada audit committee yang menunjukkan kebijakan akuntansi yang penting yang digunakan, alternatif perlakuan perlakuan akuntansi yang sesuai standar dan telah dibicarakan dengan manajemen perusahaan, pemilihannya oleh manajemen dan preferensi auditor.

· KAP dilarang memberikan jasa audit jika CEO, CFO, chief accounting officer, controller klien sebelumnya bekerja di KAP tersebut dan mengaudit klien tersebut setahun sebelumnya.

3.      SOX melarang pemusnahan atau manipulasi dokumen yang dapat menghalangi investigasi pemerintah kepada perusahaan yang menyatakan bangkrut. Selain itu, kini CEO dan CFO harus membuat surat pernyataan bahwa laporan keuangan yang mereka laporkan adalah sesuai dengan peraturan SEC dan semua informasi yang dilaporkan adalah wajar dan tidak ada kesalahan material. Sebagai tambahan, menjadi semakin banyak ancaman pidana bagi mereka yang melakukan pelanggaran ini.

4.      International Federation Accountants (IFAC), pada akhir tahun 2001 merevisi kode etik bagi para akuntan yang bekerja agar menjadi whitstle blower sebagai berikut “ para profesional dituntut bukan hanya bersikap profesional dalam kaidah-kaidah aturan profesi saja tetapi profesional juga dalam menyatakan kebenaran pada saat masyarakat akan dirugikan atau ada tindakan-tindakan perusahaan yang tidak sesuai dengan hukum yang berlaku”.

5.      AICPA dan The Big Five KAP di Amerika mendukung inisiatif Reform yang melarang KAP untuk menawarkan jasa internal audit dan jasa konsultasi lainnya kepada perusahaan yang menjadi klien audit KAP yang bersangkutan.

6.      Jhon Whitehead dan Ira Millstein, ketua bersama Blue Ribbon Committe SEC, mengeluarkan rekomendasi tentang perlunya kongres menyusun Undang-Undang yang mengharuskan perusahaan Go Public melaksanakan dan melaporkan ketaatanyan terhadap pedoman corporate governance.

7.      Securities Exchange Commission (SEC) dan New York Stock Exchange (NYSE), menyerukan bahwa auditor internal harus lebih mempertajam peran dalam pemeriksaan ketaatan, mengelola resiko, dan mengembangkan operasi bisnis, dan setiap perusahaan diwajibkan untuk memiliki fungsi audit intern.
